Section 3The aim of the foundation: In the worldwide human living areas, relying on support of science and technology, safeguarding human habitat healthcare; Popularizing and researching Human Habitat Healthcare Science, mastering the law of the prevention and treatment of human settlement environment disorders（H Wellness）, saving people's lives or other charity activities; Developing the friendly international relations and cooperation, promoting respect for human rights, maintaining the healthy life, improving the quality of life, bringing  benefits to people around the world.

第3条 本基金会的宗旨：在世界范围的人类住区内，依靠科学技术支撑，保障人居健康；普及和研究人居健康科学，掌握防治人居环境疾患的规律，开展治病救人的慈善活动；发展国际间之友好合作关系，增进对人居人权的尊重，维护生命健康，提高生活质量，造福全球民众。

Article II, Business Scope

第二章　　　　业务范围

Section 4The foundation, complying with the relevant international laws and regulations, according to the legal, voluntary and effective principle, to accept providing money, material donations and aid in science and technology, from government, organizations, enterprises and individuals at home and abroad, which specialized in public charity in the field of Life Healthcare Science Culture, and engaged in the welfare charity business.

第4条 本基金会遵照有关国际法规，按照合法、自愿、有效的原则，接受海内外热心支持健康福利和慈善事业的政府、组织、团体、企业和个人提供的资金、物质捐赠及科学技术援助，是专门从事生命健康科学文化领域的公共慈善机构，经营福利慈善业务。

Section 5　　　The foundation, in accordance with relevant international laws and regulations, is to carry out the relevant human health science charitable activities, including: scientific research, education, household survey, community assistance, environmental improvement, ecological energy-saving, exchange of experience, museum exhibition, community lectures, scientific product sales, personnel training, in conjunction with the school scholarships, grants, scientific application training, the promotion of volunteers, a doctoral candidate in studio and so on.

第5条 本基金会遵照有关国际法规，开展相关人居健康科学的慈善活动，包括：科学研究，教育传承，家庭调查，小区救助，环境改善，生态节能，经验交流，博物展示，普及讲座，科学载体销售，人才培养，会同院校设立奖学金、助学金、科学应用培训、推广志愿者队伍和博士研究生工作室等。

Section 6The foundation respects and relies on supports from the founded institutions Human Habitat Healthcare Science (American Green Environment Valley Inc. and NY Life Science center Inc.) and scientists, dedicated international health charity, welfare and charity.

第6条 本基金会尊重和依靠人居健康科学创立机构（American Green Environment Valley. and NY Life Science center Inc.）和科学家的相互支撑，奉献国际健康福利和慈善事业。

Article III, Organization

第三章　　　　组织机构

Section 7The highest authority of the foundation is the board of directors. The board of director composites by the chairman, vice chairman, executive director, director. The Foundation created initially by the institution of Human Habitat Healthcare Science and relevant experts researchers, consists of the secretariat of the board of directors and the secretary-general (can also be used by members of the board of directors). The Foundation shall have no members.

The chairman of the foundation's board of directors is the supreme head of the foundation, does not serve as the legal representative of the other groups.

第7条 本基金会的最高权力机构是理事会。理事会由主席、副主席、执行理事、理事组成。由人居健康科学创立机构的相关专家人员最初创建。下设理事会秘书处，秘书长（也可由理事会成员兼任）。基金会应没有成员。

本基金会理事会主席是本基金会的最高负责人，不兼任其它团体的法定代表人。

Section 8 The main functions and powers of the foundation's board of directors are:

1, formulate guidelines, overall planning of tasks and daily operation;

2, concerning final decision of the important events, the department setup and personnel appointment;

3, evaluating and deciding the foundation project;

4, set up the annual budget and regulations for the use of raised money.

Chairman of the board of the foundation presided over all meetings of the board of directors of the foundation, signed all decisions, rules and regulations, and all external contracts of the foundation.

第8条 本基金会理事会的主要职权，是：

1、制定指导方针，任务和日常运作总体规划；

2、提出有关重大事件和部门设置及负责人聘任的最终决定；

3、评价并决策本基金会项目；

4、制定年度预算和使用募集资金各项规章制度。

本基金会理事会主席主持本基金会理事会的所有会议，签署本基金会内部的所有决定、规章制度和对外的所有合同。

Section 9The foundation's board of directors absorbs who is enthusiastic in participating in activities of researching Human Habitat Healthcare Science and charity activities, and has made a significant contribution to join the board of directors. He/She is volunteer to apply for, and recommended by two members of the board of directors. When the board approved, one can be officially became the board director of the foundation.

第9条 本基金会理事会吸纳热心人居健康科学慈善活动、并做出重大贡献的人士加入理事会，经本人自愿申请，两名理事会成员推荐，理事会讨论批准，即可以正式成为本基金会的理事会理事。

Section 10 The principle of discussion official business of the foundation's board of directors: the board of directors shall be held only when over two-thirds of the directors are present. Its resolution come into force only when it is approved by the directors’ more than two-thirds votes; The board meeting held at least once a year, special circumstances can also be held in the form of communication.

第10条 本基金会理事会的议事原则：理事会须有2/3以上理事出席方能召开，其决议经到会2/3以上理事表决通过方能生效；理事会每年至少召开一次会议，特殊情况下也可采用通讯形式召开。

Section 11 The main responsibilities of Secretariat of the foundation's board of directors are:

1, execute the resolutions of the board of directors, organize to carry out the annual work plan, under the chairman of the leadership of the board;

2, make internal institutions working system and management system, and then implement when approved by the board of directors;

3, organize and coordinate the project planning, fund-raising, project management, and other works;

4, set up the annual summary, draft the annual plan, and report the board of directors’ deliberation;

5, and other daily affairs.

General Secretary presided over the overall works of the secretariat of the foundation's board of directors, put forward to Chairman of board, the candidate of deputy general secretary; Put forward the candidate of the internal institutions, head of the staff and the appointment or employment, and the programming and the resolution of the board meeting.

第11条 本基金会理事会秘书处的主要职责，是：

1、在理事会主席领导下，执行理事会的决议，组织落实年度工作计划；

2、制定内设机构的工作制度和管理制度，经理事会批准后组织落实；

3、组织并协调项目策划、资金募集、项目管理等工作；

4、制定年度总结和年度计划草案，并报告理事会审议；

5、处理其他日常事务。

本基金会理事会秘书长主持本基金会理事会秘书处的的全面工作，向理事会主席提出副秘书长人选；提出内设机构工作人员和负责人的任免或聘任人选，提出理事会会议的程序和决议草案。

Article IV, Members

第四章　　　　基金会理事

Section 11The government, organizations, enterprises and individuals who are willing to sponsor welfare charity more than $100,000, can become members of the foundation after filling in the registration form.

All kinds of donation are nonrefundable, even if the board member leaves the Board.

第11条 自愿赞助本基金会100,000美元以上福利慈善款的政府、组织、团体、企业和个人，均可填写登记表成为本基金会理事。

各种捐赠不予退还，即使理事会成员离开理事会。

Section 12 The rights and obligations of foundation members are:

1, obtain priority of services, salon, communication data, souvenir in this foundation;

2, provide priority of participating in training, education, volunteers and doctor workstation chance in this foundation;

3, evaluate the criticism suggests and supervision of this foundation's work;

4, safeguard the legitimate rights and interests of the foundation;

5, propagandize and implement the purpose of the foundation and knowledge of Human Habitat Healthcare Science to the whole society.

第12条 本基金会理事的权益和义务，是：

1、取得本基金会服务、沙龙、通讯数据、纪念品的优先权；

2、提供本基金会参与培训、教育、志愿者和博士工作站机会的优先权；

3、对本基金会工作的批评建议权和监督权；

4、维护本基金会的合法权益；

5、宣传和广大本基金会的宗旨，向全社会普及人居健康科学知识。

Article V, Management and Use of Asset

第五章　　　　资产的管理和使用

Section 13 Funding sources of the foundation:

1, funded by initial experts of Human Habitat Healthcare Science;

2, the donation of government, organizations, enterprises and individual at home and aboard;

3, the interest of fund;

4, the income of activities or services within the approved scope of business;

5, and other legitimate income.

第13条 本基金会经费来源：

1、由人居健康科学创立机构相关专家人员为本基金会最初创建的资助；

2、海内外政府、组织、团体、企业和个人的捐赠；

3、基金利息；

4、在核准的业务范围内开展活动或服务的收入；

5、其他合法收入。

Section 14 To use funds of the foundation:

1, the foundation funds must be used for the related businesses as prescribed in the articles of association and the development of enterprise.

2, set up a strict financial management system to ensure that the accounting information is lawful, authentic, accurate and complete.

3, equipped with qualified accounting personnel. Accounting shall not concurrently hold the position of cashier. Entrust legal accounting firm conduct accounting.

4, the assets of the foundation are protected by state law, any unit and individual shall not be occupied, embezzle and divert the assets. The Foundation implements of laws and regulations of the international financial management system, and accepts the supervision of the foundation's board of directors, donors. Before the transition, the assets must be supervised by financial audit of the organization.

5, the foundation of full-time staff salary and insurance and welfare benefits, the subsidies of member’s rights and interest, with reference to relevant provisions.

第14条 本基金会经费使用：

1、本基金会经费必须用于本章程规定的业务范围和事业的发展。

2、建立严格的财务管理制度，保证会计数据合法、真实、准确、完整。

3、配备具有项目资格的会计人员，会计不得兼任出纳。委托合法的会计师事务所进行会计核算。

4、本基金会的资产受国家法律保护，任何单位、个人不得侵占、私分和挪用。执行国际有关法律规定的财务管理制度，接受本基金会理事会、捐赠者的监督。换届之前必须接受监事部门组织的财务审计。

5、本基金会专职工作人员的工资和保险、福利待遇，理事的权益补贴，参照有关规定执行。

Article VI, Amendments of Bylaws

第六章　　　　章程的修订

Section 15 The revision of the articles of the foundation shall be deliberated and approved by the board of directors.

第15条 本基金会章程的修订，须经理事会审议通过。

Section 16 The revised articles of the foundation become effective after the approval of the board examined and approved.

第16条 本基金会修订的章程，在理事会审议通过核准后生效。

Article VII, Termination and Disposal of Termination

第七章　　　　终止及终止后的财产处理

Section 18Before the expiration, the Foundation shall establish a liquidation organization, clean up the creditor's rights debt, and deal with the aftermath. During the period of liquidation, no other activities will be started.

第18条 本基金会终止前，须成立清算组织，清理债权债务，处理善后事宜。清算期间，不开展清算以外的活动。

Section 19 The foundation to the original registration institution is terminated after the appropriate level of formalities.

第19条 本基金会经原注册机构办理注销等级手续后即为终止。

Section 20Residual property after the termination of the foundation, under the supervision of the supervisors’ institutions, shall, in accordance with the relevant regulations, to develop the foundation principle related business.

第20条 本基金会终止后的剩余财产，在监事机构的监督下，按照有关规定，用于发展与本基金会宗旨相关的事业。

Article VIII， Tax Exemption Provisions

Section 21 The Taxation of The Foundation strictly follows American Taxation laws and related government policies.

Article IX, Supplementary

第九章　　　　附则

Section 22 These articles of association and approved by the board of directors through all the directors voting.

第22条 本章程经理事会全体理事表决一致同意通过。

Section 23 The power of interpretation of the articles of association belongs to the foundation's board of directors.

第23条 本章程的解释权属本基金会理事会。

Section 24 The articles of association shall take effect as the date of all the directors unanimously by the foundation.

第24条 本章程自本基金会全体理事一致通过之日起生效。
